Compenent provides digital marketing services to small businesses in the United States, including but not limited to:

  • Paid advertising management

  • Branding and design services

  • Marketing automation and CRM setup

3. Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete information about your business
  • Provide necessary access to systems and accounts for service delivery
  • Respond to requests for information, feedback, or approvals in a timely manner
  • Make timely payments for services rendered
  • Use our services in compliance with all applicable laws and regulations

4. Payment Terms

Payment terms will be specified in individual service agreements. Generally:

  • One-time projects require a deposit before work begins
  • Monthly services are billed in advance
  • Payments are due upon receipt of invoice
  • Late payments may result in suspension of services

5. Intellectual Property

Client Materials: You retain ownership of all materials you provide to us.

Our Work: Upon full payment, you receive ownership of final deliverables as specified in the service agreement. We retain the right to display work in our portfolio.

Our IP: We retain ownership of our proprietary methods, tools, templates, and pre-existing materials.

6. Confidentiality

We agree to keep confidential all non-public information you provide, except when disclosure is required by law. You agree to keep confidential any proprietary information we share about our methods and processes.

7. Limitations of Liability

To the maximum extent permitted by law, Compenent shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

Our total liability for any claim arising from our services shall not exceed the amount paid by you for the specific service giving rise to the claim.

8. No Guarantees

While we use our expertise to deliver the best possible results, we cannot guarantee specific outcomes such as search engine rankings, lead quantities, or revenue increases. Digital marketing results depend on many factors beyond our control.

9. Termination

Either party may terminate services with 30 days written notice, unless otherwise specified in the service agreement. Upon termination, you agree to pay for all services rendered up to the termination date.

10. Dispute Resolution

Any disputes arising from these Terms or our services shall be resolved through good faith negotiation. If unable to resolve, disputes shall be settled through binding arbitration in New York, NY, in accordance with the rules of the American Arbitration Association.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify clients of any material changes. Continued use of our services after changes constitutes acceptance of the new Terms.
